Terms of use (B2B)

Terms for the professional use of KLARMASS by entrepreneurs within the meaning of § 14 BGB. Not intended for consumers.

Status of this document

This document has not yet been reviewed by external legal counsel. It is published so that prospective design partners can see the intended terms in full.

Contracting party

The contracting party is currently the provider named in the legal notice, not a future company. Passages whose wording depends on a later corporate form are flagged as formation-dependent and remain subject to legal review.

1 — Scope

These terms govern the use of the KLARMASS service by entrepreneurs, legal entities under public law and special funds under public law. They do not apply to consumers.

2 — Product description

KLARMASS is a software tool for analysing, structuring and assessing evidence associated with professional work products. It identifies externally checkable claims, inspects the evidence offered for them, supports external verification and documents human decisions.

3 — Permitted use and current restriction

During the current pilot phase the service may be used only with synthetic, deliberately redacted or otherwise non-confidential documents. Use with confidential or personal material requires a separate, documented release.

4 — User responsibility

The user is responsible for having the necessary rights and authority to provide content to the service. KLARMASS may identify inconsistencies, missing evidence or other issues; such checks do not establish that all errors, omissions or incorrect input information have been detected. Incorrect or incomplete source material may affect the resulting assessment.

5 — Rights to uploaded content

Uploaded content remains with the user. KLARMASS receives only the rights necessary to provide the service, including storage, parsing, inspection and verification. We do not use uploaded content to train models of our own. Whether providers in the AI chain use transmitted content for training has not been verified by us and is therefore not asserted here; this is one reason for the current restriction to non-confidential documents.

6 — AI-generated outputs and evidence-status limitation

The service may use probabilistic AI systems, external sources and automated classifications. Outputs may be incomplete, inaccurate or require professional interpretation. Evidence Status, Action Status, materiality proposals and prioritisation are not an assurance of truth, completeness, legality, compliance or suitability for a particular decision.

7 — Professional decision responsibility

Final review, professional judgement, approval and external use of a work product remain with the user and the responsible organisation.

8 — No professional advice

The service does not provide legal, tax, audit, medical or other regulated professional advice and does not replace the competent professional.

9 — Account security

The user keeps access credentials confidential, manages workspace membership responsibly and notifies us without undue delay of any suspected unauthorised access, at security@klarmass.eu.

10 — Prohibited use

  • Uploading content the user is not entitled to provide.
  • Uploading confidential or personal material contrary to the current restriction.
  • Attempting to circumvent access controls, tenant separation or the review separation between maker and checker.
  • Automated bulk extraction of the service beyond ordinary use.
  • Using outputs in a way that presents them as an assurance of correctness.

11 — Availability

During the pilot the service is provided without a defined availability level. Maintenance, changes and interruptions are possible. External providers used by the service may be temporarily unavailable; in such a case an inspection run is preserved as failed and can be repeated.

12 — Intellectual property

The service, its software, design and documentation remain with KLARMASS. No rights beyond the contractual right of use are granted.

13 — Term, termination, export and deletion

Pilot participation may be ended by either side at any time. On request, stored work products and evidence records are exported or deleted, unless statutory retention obligations apply.

14 — Liability

Liability is unlimited where mandatory statutory law so provides, in particular for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act where applicable. For slight negligence, liability exists only for breach of a material contractual obligation and is limited to the typical, foreseeable damage.

Open legal decision

Whether an additional contractual liability cap applies, and at what level, is an open legal decision and is deliberately not stated here as agreed law. KLARMASS does not claim to exclude liability entirely.

15 — Governing law and venue

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is subject to legal review and will be confirmed before any commercial contract is concluded.
